Applicable Scope: Overseas distributors, regional agents, importers, and OEM/ODM partners

SoulFeed Diary currently provides three cooperation models for overseas partners:

The partner purchases and sells SoulFeed Diary products using the original product formulation and original packaging, without modification.

Suitable for:

• First-time cooperation and market testing;
• General distributors;
• Partners who wish to enter the market quickly;
• Regional distributors.

The product formulation remains unchanged, while the packaging is translated or adapted into the local language of the target market, such as English, Thai, Malay, etc.

SoulFeed Diary / our manufacturing partners provide the agreed product formulation, raw materials and manufacturing support.

The partner may develop its own packaging and brand design. SoulFeed Diary / our manufacturing partners provide the agreed formulation, raw materials and manufacturing support.

Specific formulation, packaging, production and development arrangements shall be confirmed by both parties before production.

Model A: Original Packaging

General Procurement / Market Testing

For trial orders or initial market testing:

• No minimum MOQ requirement;
• No minimum purchase value requirement.

Note: A trial order does not automatically grant regional distributor or agency rights.

Regional Distributor

For partners applying for regional distributor status:

• The minimum monthly purchase value is RMB 10,000;
• The order quantity should meet the corresponding minimum monthly purchase value;
• Regional distributor status is subject to written confirmation by SoulFeed Diary.

Subject to Confirmation：

Regional distributor status does not automatically mean exclusive distribution rights. Any exclusivity, territory and sales targets shall be separately agreed in writing.

Model B: Local Language Packaging

Regardless of whether the partner is a general distributor,
regional distributor or other type of partner:

• MOQ is 1,000 units per SKU.

Model C: OEM / ODM

For OEM / ODM cooperation:

• MOQ is 1,000 units per SKU.

SKU Definition

For the purpose of MOQ calculation, one SKU is defined as a combination of:

specific product formulation + specific package size + specific packaging design.

Different formulations, package sizes or packaging designs shall generally be treated as separate SKUs.

MOQ across different SKUs cannot generally be combined unless otherwise agreed in writing.

Model A: Original Packaging

For products available in stock, shipment can generally be arranged promptly, subject to inventory availability.

The overall delivery timeline mainly depends on:

• Product inventory and production schedule;
• International transportation time;
• Import permits and regulatory procedures in the destination country;
• Customs clearance time.

For example, certain countries may require pet food registration, quarantine procedures or import permits before importation.

Model B / Model C

Compared with Model A, approximately 1–2 additional months may be required for packaging design, artwork approval, printing preparation and/or new packaging mold development.

The actual lead time shall be based on the final product specification, packaging approval and production schedule.

Before placing an order, the partner/importer shall independently confirm all applicable requirements in its destination country or region, including:

• Import permits;
• Product registration;
• Quarantine requirements;
• Labeling requirements;
• Ingredient and regulatory requirements;
• Customs documentation;
• Other applicable local regulatory requirements.

For example, markets such as Malaysia and Thailand may have specific import and pet food requirements imposed by their respective authorities.

In principle, import permits, product registration, customs clearance and local regulatory compliance in the destination country shall be the responsibility of the importer/distributor.

SoulFeed Diary will provide the necessary product and export-related documents as agreed by both parties.

Any delay, detention, return shipment or additional cost arising from destination-country regulations, import permits or customs requirements shall generally be borne by the importer/distributor unless otherwise agreed in writing.

SoulFeed Diary can assist with domestic transportation within China.

Subject to mutual confirmation, SoulFeed Diary may arrange domestic transportation of the goods to designated ports or logistics hubs in China, such as Yiwu or Guangzhou, at no additional charge.

International transportation shall generally be arranged by the partner.

The partner may independently choose:

• Sea freight;
• Air freight;
• International express;
• Other international transportation methods.

Unless otherwise agreed in writing, international freight, cargo insurance, destination port charges, import duties, taxes, customs clearance fees, inspection fees and other destination-country expenses shall be borne by the partner.

6.1 Currency

Unless otherwise agreed, product prices and payments shall be denominated in Chinese Yuan (CNY/RMB).

6.2 Standard Payment Terms

Standard payment terms:

80% deposit + 20% balance

The timing of the remaining 20% balance shall depend on the cooperation model, customer credit profile and mutual agreement.

Subject to Confirmation：

For first-time customers, remaining balance be paid before shipment.

For long-term partners with a satisfactory payment history, alternative balance payment arrangements may be negotiated separately.

6.3 Bank & Currency Conversion Charges

Bank charges, intermediary bank fees and currency conversion charges arising from international payments shall generally be borne by the payer.

The net amount actually received by SoulFeed Diary shall correspond to the agreed payment amount.

OEM / ODM cooperation may involve packaging design, printing, artwork preparation, mold development and other customization work.

Any additional costs arising from such customization shall be quoted separately based on actual costs.

Potential additional costs may include:

• Packaging design fees;
• Printing and plate-making fees;
• Packaging mold fees;
• Special packaging material costs;
• Custom development fees;
• Other mutually agreed costs.

Before mass production, the partner shall provide final approval of the packaging design, product specifications and production files.

Regional distributor status may be granted by SoulFeed Diary based on the partner's market capabilities, purchase volume, market development capacity and overall cooperation.

Regional distributors are expected to continuously meet the agreed minimum purchase targets.

Subject to Confirmation：

If a regional distributor fails to meet the agreed minimum purchase target for three consecutive months, SoulFeed Diary may review its regional distributor status.

Any adjustment, suspension or termination of regional distributor status shall be handled according to the applicable cooperation agreement.

The remaining shelf life at the time of shipment shall be based on the applicable purchase order and actual production date.

Subject to Confirmation：

The parties may agree on a minimum remaining shelf-life requirement for different products.

SoulFeed Diary shall manufacture and deliver products according to the specifications and purchase orders confirmed by both parties.

Any damage occurring during transportation shall be handled according to the agreed delivery terms and allocation of transportation risk.

If the partner identifies any quantity, packaging or quality issues, the partner shall promptly notify SoulFeed Diary and provide relevant batch information, photographs, videos and other necessary evidence.

Specific claim periods and procedures may be separately agreed in the purchase order or cooperation agreement.

Unless otherwise stated in the quotation, SoulFeed Diary product quotations are recommended to remain valid for 30 days.

This document sets out the general overseas cooperation policy and commercial terms of SoulFeed Diary and is intended to help partners understand the basic cooperation framework.

Specific product prices, SKUs, quantities, packaging, lead times, payment terms, delivery terms and other commercial conditions shall be subject to the final quotation, purchase order, sales contract or formal cooperation agreement agreed by both parties.

In the event of any inconsistency between this policy and a formally executed agreement, the formally executed agreement shall prevail.
